INTRODUCTION

These Terms & Conditions ("Terms") govern your access to and use of the Telque Komas platform, website, and services. By creating an account or using our platform, you agree to be bound by these Terms.

If you do not agree to these Terms, please do not use our platform.

Definitions

• "Platform" refers to the Telque Komas website, mobile application, and all related services.

• "Buyer" refers to any user who purchases products through the platform.

• "Seller" refers to any user who lists and sells products through the platform.

• "Customer" refers to both Buyers and Sellers collectively.

• "We," "us," "our" refers to Telque Komas.

• "Service" refers to the marketplace services provided by Telque Komas.

Account Registration

Eligibility

You must be at least 18 years old to use our platform. By registering, you represent that you are legally capable of entering into binding contracts.

Account Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials.

• You must provide accurate, current, and complete information.

• You are responsible for all activities that occur under your account.

• You must notify us immediately of any unauthorised use of your account.

• You may not create multiple accounts without our authorisation.

Buyer Terms

Orders

• All orders placed through the platform constitute an offer to purchase.

• We reserve the right to accept or decline any order.

• Order confirmation does not guarantee product availability.

• Prices are subject to change without notice, but changes will not affect confirmed orders.

Payment

• Payment must be made at the time of order through our integrated payment gateways.

• Accepted payment methods include card payments, bank transfers, and other methods as displayed at checkout.

• All transactions are processed securely through Paystack and Monnify.

• Prices are displayed in Nigerian Naira (NGN) unless otherwise stated.

Delivery

• Delivery timeframes are estimates and not guaranteed.

• Shipping costs are calculated based on order weight, destination, and delivery method.

• Risk of loss passes to the Buyer upon delivery confirmation.

Seller Terms

Seller Verification

We onboard only registered businesses and verify both the business and its owners. Owner verification is conducted using a valid National ID or any other acceptable government-issued identification. We also review and ensure compliance with our marketplace policies, including our returns and refund policies.

Listing Products

• Sellers must provide accurate product descriptions, images, and pricing.

• All products must comply with applicable laws and regulations.

• Prohibited items include counterfeit goods, illegal products, and items that infringe on intellectual property rights.

• We reserve the right to remove listings that violate our policies.

Order Fulfilment

• Sellers must fulfil orders promptly and in accordance with the stated delivery timeframes.

• Sellers are responsible for packaging products appropriately for shipping.

• Failure to fulfil orders may result in account suspension or termination.

Fees and Payouts

• A platform fee is deducted from each sale as specified in your seller agreement.

• We receive payments on behalf of vendors and hold the funds for up to three (3) days after shipment has been successfully completed and delivery confirmed before disbursing them to the vendor.

• Funds are managed by our platform during this holding period. Vendors and users do not have wallet accounts or stored balances on the platform, and there is no functionality that allows transfers between vendors or users.

• Sellers are responsible for any applicable taxes on their earnings.

• We reserve the right to adjust fees with 30 days' notice.

Prohibited Activities

You agree not to:

• Use the platform for any unlawful purpose or in violation of any applicable law.

• Attempt to manipulate prices, interfere with other users' listings, or disrupt the marketplace.

• Post false, misleading, or deceptive content.

• Engage in any activity that could harm, disable, or impair the platform.

• Attempt to gain unauthorised access to any part of the platform.

• Use automated tools, bots, or scrapers without our written consent.

• Harass, abuse, or harm other users.

Intellectual Property

Platform Content

All content on the platform, including trademarks, logos, text, graphics, and software, is the property of Telque Komas or its licensors and is protected by applicable intellectual property laws.

User Content

By posting content on our platform, you grant us a non-exclusive, royalty-free licence to use, reproduce, and display that content in connection with operating the platform. You represent that you own or have the necessary rights to post such content.

Limitation of Liability

To the maximum extent permitted by law, Telque Komas shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform. Our total liability shall not exceed the amount paid by you in the six months preceding the claim.

Disclaimer of Warranties

The platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the platform will be uninterrupted, secure, or error-free.

Indemnification

You agree to indemnify and hold Telque Komas harmless from any claims, losses, damages, liabilities, and expenses arising from your use of the platform, violation of these Terms, or infringement of any third-party rights.

Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or any applicable policy. Upon termination, your right to use the platform ceases immediately. Outstanding obligations, including payment for completed orders, shall survive termination.

Dispute Resolution

Informal Resolution

Before initiating any formal proceedings, you agree to contact us at support@telquekomas.com to attempt to resolve the dispute informally.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Arbitration

Any dispute arising from these Terms shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria, 2004. The arbitration shall be conducted in Lagos, Nigeria.

Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the platform. Your continued use of the platform after changes constitutes acceptance of the revised Terms. We will notify you of material changes via email or platform notification.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms constitute the entire agreement between you and Telque Komas regarding your use of the platform and supersede all prior agreements and understandings.
